R. Alan Deer is a Partner in the Birmingham office where he concentrates his practice in the areas of corporate, banking and securities. In particular, Mr. Deer has extensive experience in the following:
Bank and financial institution mergers and acquisitions
Bank regulatory and compliance issues
Public securities offerings
Public company representation, including advice relating to proxy solicitations, shareholder proposals, Sarbanes-Oxley, periodic reporting and disclosure issues
Listing and maintenance requirements of the New York Stock Exchange
Corporate governance, including advice to directors with respect to legal issues and fiduciary duties in the context of strategic transactions.
Mr. Deer also is a member of the firm's Credit Crisis Group, a special team of lawyers working on challenges created by the current disruptions in the credit and other capital markets.
Prior to joining Balch & Bingham, Mr. Deer was executive vice-president, general counsel and corporate secretary for one of the top ten bank holding companies in the US, providing legal oversight for mergers and other financial transactions valued in excess of $15 billion.
In addition to his professional commitments, Mr. Deer is an adjunct professor at the Cumberland Law School at Samford University in Birmingham, where he teaches banking law.
