Bing Edwards joined Balch & Bingham LLP in 1998 and became a partner in 2003. His practice focuses on helping businesses solve complicated problems, many of which are colored by tax considerations. His practice consists of the following:

  • Federal Tax: Frequent analysis of the effects of federal tax laws on various corporate transactions; establishment of nonprofit corporations; terminations of private foundation status for two significant foundations in Alabama.
  • Legislative: Analysis of legislation for various clients; representation of and drafting of legislation for Campaign for Alabama during Governor Riley’s attempt at educational and tax reform.
  • State and Local Tax: Advice on state tax audits with aggregate amounts at issue of $100 million; resolution of local business license audit for a health insurance provider; representation of health care provider in property tax valuation challenges; defense of class action alleging improper collection of sales tax by a retailer.
  • Transactional: Advice on business structuring issues for institutional clients; numerous whole loan sales by a financial institution where true sale opinions are required; advice on tax structure for special purpose entities created for structured finance transactions; representation of a local municipality in its negotiations with a AA baseball team considering relocation.

Mr. Edwards has previously served as an Adjunct Professor at the University of Alabama School of Law, where he taught classes on tax-exempt organizations and the taxation of business entities. He was the liaison for the Law School’s IRS intern program and advisor to the Law School’s tax moot court team. Mr. Edwards also served as a Bar Examiner for the Alabama Bar Association.

Prior to joining Balch & Bingham LLP, Mr. Edwards clerked for Senior U.S. District Judge Seybourn H. Lynne, for whom Mr. Edwards’ father had also clerked.
