In the past two years, Martha has worked on the closing of over $1 billion of private equity assets.

  • What types of clients do you represent?

    In the area of mergers and acquisitions, I represent clients from heavily regulated sectors, including independent power production and healthcare. I also represent private equity funds, broker-dealers, and private equity investors in a variety of private equity transactions. On economic development projects, I work with both localities and private industry.

     

  • What type of matters do you work on most often?

    My primary area of focus has been on mergers and acquisitions within heavily regulated sectors, specializing in auction-based transactions. I guide my clients through the due diligence and negotiation processes and execution of definitive purchase and sale agreements. I am also involved in our state’s economic development efforts, analyzing incentives and assisting clients in attracting new and existing businesses to Alabama.

  • Divestiture counsel: Selected as counsel to an energy service company in the divestiture of its portfolio of generation assets. (Ongoing) 
  • UESC financing: Represented a public utility in the financing and implementation of three separate utility energy services contract (UESC) projects for energy conservation measures on military installations.
  • Acquisition counsel: Served as counsel to Harbert Power Fund V, LLC in the acquisition of Calhoun Energy Center (2016).
  • Acquisition counsel: Served as counsel to a national retail corporation in its acquisition of a regional retailer which operates almost 30 retail facilities across the southeast. (2015)
  • Auction-based acquisition transactions: Represented nine different clients as bidders in 12 separate auction-based acquisition transactions, including nine independent power projects, one utility-owned project, and two food and beverage companies. (2015)
