Tim advises clients in the negotiation and documentation of a broad array of corporate and project financings.

What types of clients do you represent?

In the area of business transactions, I represent clients across a wide range of industries, including independent power production, heavy manufacturing, retail, and construction.
What type of matters do you work on most often?

My primary areas of focus have been on mergers and acquisitions within heavily regulated sectors, specializing in auction-based transactions, and corporate and project financings within the independent power production and construction industries. In each area, I guide my clients through each phrase of the transactional process from beginning to end.
What do you see on the horizon in your area of practice?

With the recent extension of federal energy tax credits, we will see more deal flow in the renewable energy sector. In addition, as debt markets continue to expand and interest rates remain attractive, we will see more debt financing across all sectors, with a special emphasis on personal relationships between banker and borrower.
What do you find most exciting about your work?

As business transactions become more complex and as clients require more efficiency, great opportunities for legal creativity will arise. Moreover, this unique environment provides a remarkable framework for building deep relationships with clients.

Select Matters

Divestiture counsel: Selected as counsel to an energy service company in the divestiture of its portfolio of generation assets, which included the necessary separation of generation and interconnection facilities from transmission, distribution and substation facilities. (2017)
Acquisition counsel: Served as counsel to Harbert Power Fund V, LLC and Gulf Pacific Power, LLC in the acquisition of 50% of the ownership interest in Northern Star Generation LLC, which owns beneficial interest in eight electric generation facilities with a combined net capacity of approximately 1,235 MW. (2014)
Project Financing counsel: Served as lead counsel to several private equity funds to finance over $1 billion of project financings, including construction, term, revolver, and letters of credit facilities. (2010 - 2015)
Corporate Financing counsel: Served as lead counsel to a large construction company in connection with a $100 million working capital and letter of credit facility. (2013)
International Acquisition counsel: Served as counsel to a publicly held Japanese company in connection with its acquisition of over a $100 million large manufacturing facility. (2012)
