  • What types of clients do you represent?

    I represent large public utilities, generator owners and developers, and end users of electricity in a variety of transaction matters.    

    Power Purchase and Sale Agreements

    I represent both buyers and sellers in preparing and negotiating power purchase agreements from a variety of generation resources, including solar, energy and battery storage, wind, natural gas, and biomass facilities.   

    Generation Development

    I also work with generation owners and developers to make their projects successful, including EPC contracts, equipment procurement agreements, interconnection agreements, operation and maintenance agreements, long term service agreements, steam contracts, fuel contracts, and the purchase and sale of renewable energy products.  

    Mergers and Acquisitions

    In the area of mergers and acquisitions, I represent utilities and independent power producers in the acquisition and divestiture of electric generation facilities, including in all aspects of due diligence and the negotiation of purchase and sale agreements.

  • Electric Generation Facility Construction and Development: Lead counsel to utilities and generation owners in construction and equipment procurement contracts for new generation facilities, including turn key EPC contracts, equipment procurement and balance of plant construction.  Recent representative experience includes:
  • Construction of generation and battery storage facilities:
    • Solar generation facilities of over 500 MW in ERCOT.
    • The first energy storage and battery project in the state of Texas.
    • Energy storage projects of over 150 MW in California.
    • Energy storage projects of over 400 MW in the state of Texas.
    • Wind generation facilities of over 500 MW in the Western United States.
    • A 610 MW natural gas-fired generation project located in Brooklyn, New York.
    • Construction agreement with Bechtel Power Corporation for the completion of the Vogtle units 3 and 4 nuclear power generation units in Georgia.
  • Major equipment procurement contracts:
    • Solar panel supply agreements for over 1,000 MW of projects in the Southeast United States and the state of Texas.
    • Energy storage and battery components for over 500 MW of new projects in California, New York and Texas.
    • Wind turbine supply agreements for over 500 MW of projects in the Western United States.
    • Natural gas turbine and other major equipment purchase contracts for combined cycle and combustion turbine facilities.
  • Solar Energy Transactions: 
    • Representation of generation owners and utilities in preparing power purchase agreements for the sale of hundreds of megawatts of power from solar generation plants across the United States, including virtual PPAs and commercial and industrial (C&I) contracts.
    • Operation and maintenance agreements.
    • The sale of renewable energy credits and environmental attributes.
  • Energy Storage and Battery Transactions:
    • Representation of generation owners and utilities in preparing agreements for the sale of capacity and energy from utility and small scale energy storage and battery facilities, including from solar plus energy storage and battery facilities.
    • Lead counsel to a major utility in the development and implementation of contracts for the purchase of capacity and energy from energy storage facilities.
    • Long term service agreements for battery component service and maintenance.
  • Wind Facility Transactions:
    • Lead counsel to a large utility for the purchase of over 400 MW of generation from wind farms in Oklahoma and Kansas.  
    • Lead counsel to a large Southeast utility for multiple power purchase agreements for the purchase of 188 MW of renewable capacity and energy from various wind generation facilities in MISO and SPP.  
    • Lead counsel to a large utility in the preparation and negotiation of an agreement for the purchase of energy and renewable attributes for a 200 MW wind farm in Kansas.
    • Lead counsel to a major utility in structuring and negotiating an agreement for the purchase of energy and renewable attributes from a wind farm in Oklahoma.
    • Lead counsel in the negotiation and preparation of an agreement for the purchase of energy and renewable attributes from an 82 MW wind farm in Minnesota.      
       
  • Natural Gas-Fired Power Purchase and Tolling Agreements: Representation of utilities, generation owners, cooperatives and municipalities in preparing and negotiating power purchase and tolling agreements for hundreds of megawatts of capacity and energy from natural gas generation facilities across the United States.
  • Energy Project Acquisitions and Divestitures: Lead counsel to independent power producers, investment funds and utilities in the acquisition and divestiture of electric generation projects, including wind, solar and fossil facilities.  Representative matters include the following:
    • Lead counsel to a large generation owner in the divestiture of 6 coal plants located in the states of Texas and Illinois for environmental remediation and decommissioning.
    • Acquisition of a 200 MW solar generation project under development in the Southeast United States.
    • Acquisition of 610 MW natural gas facility in the Southeastern United States.
    • Acquisition of an 850 MW combined cycle facility in the Southeastern United States.
    • Sale of an 80 MW solar generation project in the Eastern United States.
    • Acquisition of a 200 MW plus solar generation project located in the Southeast, the output of which will be used to serve a new technology data center.
    • Acquisition of a 200 MW wind generation project in North Dakota by a national independent power producer.
    • Acquisition of a 200 MW wind generation project in South Dakota by a national independent power producer.
    • Acquisition of a 180 MW solar generation project in Upton County, Texas.
    • Acquisition of a 102.5 MW biomass generation facility in Nacogdoches, Texas.
    • Acquisition of a 600 MW natural gas-fired generating facility in Thomaston, Georgia.
    • Sale of a 320 MW natural gas-fired generating facility in Arcadia, Florida.
    • Negotiation and execution of an agreement to purchase a 300 MW gas-fired facility in Hartwell County, Georgia.
  • Transmission Cost Sharing and Recovery Agreement: Lead counsel to the New York Transmission Owners in the development and execution of an agreement for the sharing and recovery of transmission costs needed for new renewable generation projects in the state of New York.  After execution, this agreement was approved by the New York Public Service Commission and FERC. 
  • O&M and Asset Management Agreements: Counsel to utilities and generation owners in preparing and negotiating operation and maintenance agreements and asset management agreements for power plants across the United States. 
  • Generator Interconnection Agreements: Counsel to both generators and transmission providers in the negotiation of generator interconnection agreements, including in FERC and appellate proceedings involving the allocation of costs of transmission facilities and upgrades.
  • Retail Electric Service Matters: Counsel to retail electric service providers and industrial purchasers in jurisdictions with retail electric choice, including ERCOT and PJM markets. 
  • Long Term Service Agreements (LTSAs): Lead counsel to utilities and generation owners in preparing and negotiating long term service agreements for solar, wind, energy storage and fossil generation facilities, including with Mitsubishi, Sungrow, Siemens and General Electric.
  • PURPA and Cogeneration Matters: Representation of both utilities and generation developers in PURPA and cogeneration matters, including development of steam host contracts, avoided cost power purchase contracts, and counsel on regulatory matters under PURPA.
