Ms. Gwathney's corporate and securities law practice focuses on public company representation, primarily in the areas of: federal and state securities law compliance, including periodic reporting and disclosure issues and beneficial ownership reporting matters corporate governance, including compliance with NYSE and NASDAQ listing standards and the Sarbanes-Oxley Act, as well as general corporate counsel equity and debt financing transactions, including initial and secondary public equity offerings, public debt offerings, private placements of debt and equity securities and other corporate financing transactions equity and other executive compensation, including plan design and administration matters.
