  • What types of clients do you represent?

    The best part of working in this area is the variety. I have worked with larger issuers such as the State of Alabama, Jefferson County, many of the state's major universities and hospitals, and the Birmingham Airport Authority and Alabama Power Company in their exempt facility issues.  I have also served as bond counsel to Indian Springs School, Lakeshore Foundation, Randolph School, and in financings for small manufacturing companies all over the state. Each issuer or borrower has a different, compelling purpose and we have the opportunity to forward those diverse goals as we work to complete their bond issues and advise them after closing in compliance matters.

  • State of Alabama GO Bonds: Served as bond counsel to the State Bond Commission in $125 million bond issue for economic development and national guard armory renovations. (2016)
  • Healthcare Finance - Infirmary Health System Series A-D Bonds: Served as bond counsel to IHS in $252 million public offering and direct lending transaction to finance capital projects and refinance certain existing debt. (2016)
  • University Medical Center Assets Transfer - The Vanderbilt University:  Served in working group to provide special tax counsel to Vanderbilt University in the transfer of its medical center to newly formed Vanderbilt University Medical Center. (2015-2016)

  • Bank Counsel in 501(c)(3) family counseling center financing: Represented Compass Bank in $727,000 financing for Impact Family Counseling's new counseling center in Vestavia Hills. (2015)
  • New Hospital Construction Financings: Served in working group to finance construction of new 30-bed hospital in Chilton County, Alabama (2015), the 40-bed St. Vincent's Clair hospital built in 2010, and Coosa Valley Medical Center's replacement hospital opened in 2007. (2015, 2010, and 2007)
  • Borrower's Bond Counsel to Cape Cod Healthcare Obligated Group: Serve as bond counsel to CCHC in bond issuances since 2013, including structuring and ongoing securities and tax compliance matters. (2013 - present)
  • Debt Restructuring after bankruptcy - Jefferson County, Alabama: Served in working group to provide tax counsel for Jefferson County in debt restructuring as it emerged from bankruptcy on 2014. This involved tax documentation for the County's $1.78 billion Sewer Revenue Warrants Series A-F. (2013)
