  • What do you find most exciting about your work?

    I think my role as a lawyer is the best out there — my clients call me when they are really excited about a big idea, and I get to work with them to achieve it.  In the process, I’ve gotten to know my clients’ businesses inside and out, and I can help them spot issues before they’re actual issues, and allow my clients to focus on getting deals done.

  • What type of matters do you work on most often?
    My primary area of focus has been on mergers and acquisitions in large scale deals, specializing in auction-based transactions. I guide my clients through the due diligence and negotiation processes and execution of definitive purchase and sale agreements. In addition to transactional guidance, I work with my clients on general corporate governance and financing matters on an ongoing basis.  I am also involved in our state’s economic development efforts, analyzing incentives and assisting clients in attracting new and existing businesses to Alabama.
  • How are you involved in your community?

Select Matters

  • Nuclear plant purchases: Counsel to buyer in acquisition of two nuclear power plants from a public utility for proposed decommissioning by a private joint venture (2018).
  • Corporate Restructuring: Work with complex industrials firm on the restructuring of their corporate operations. (Ongoing)
  • Divestiture counsel: Selected as counsel to an energy service company in the divestiture of its portfolio of generation assets. (Ongoing) 
  • UESC financing: Represented a public utility in the financing and implementation of three separate utility energy services contract (UESC) projects for energy conservation measures on military installations.
  • Acquisition counsel: Served as counsel to Harbert Power Fund V, LLC in the acquisition of Calhoun Energy Center (2016).
