    • Representation of privately-held energy fund in its sale of three (3) QF electric utility plants to a quasi-governmental Florida entity.
    • Representation of privately-held energy fund in its sale of one (1) QF electric utility plant to a publicly-held Florida electric utility entity.
    • Representation of publicly-held Alabama electric utility entity in its acquisition of three (3) gas-fired power plants.
    • Representation of privately-held U.S. renewable energy developer, owner and operator in its acquisition of three (3) project sites for Battery Energy Storage Systems (BESS).
    • Representation of privately-held nuclear energy technology and manufacturing company in its $1.5B financing from the Department of Energy.
    • Representation of wholesale generation company in its negotiation and execution of various power purchase agreements (PPAs).
    • Representation of third-party energy asset and operations manager in its negotiation and execution of various asset management agreements and operations and maintenance agreements. 
  • General Mergers and Acquisitions
    • Representation of privately-held transportation company in its strategic acquisition of twelve (12) trucking and/or logistics providers. Transaction volume spans from California to North Carolina and generally ranges between $10M - $100M. Deals often include obtaining representations and warranties (R&W) insurance.
    • Representation of privately-held precast company in its strategic acquisition of, and debt financing related to, five (5) precast concrete companies.
    • Representation of the U.S. subsidiary of a publicly-traded Japan-based food and beverage flavoring company in its $50M strategic acquisition of Chicago-based flavoring manufacturing company.
    • Representation of international technology company in its $140 strategic acquisition of an enterprise construction management software business, which also included obtaining representations and warranties (R&W) insurance.
    • Representation of national contract manufacturing and packaging company in the sale of its stock to Nashville, Tennessee based private equity firm.

    • Representation of privately-held nuclear energy technology and manufacturing company in its $1.5B financing from the Department of Energy.
    • Representation of privately-held renewable energy developer in its efforts to obtain a replacement LC in support of certain Power Purchase Agreement obligations. 
    • Representation of affiliate machinery companies in their collective $40M secured revolving loan facility.
    • Representation of private energy fund in its $60M secured credit facility.

    • Representation of fitness facility franchisee in the buyout of the then-existing franchisor, acquisition of additional location, and now ongoing franchisor transactions. 
    • Representation of various investment groups in their negotiation and execution of franchise agreements across a variety of industries, including fitness, fuel delivery, mattress distribution, and others.
