Energy M&A and Related Transactions

  • Represented a publicly traded Alabama utility in the acquisition of three gas-fired generation facilities, adding more than 2,500 MW to Alabama’s grid.
  • Represented a private energy fund in the sale of three Florida qualifying-facility (QF) power plants to a quasi-governmental Florida purchaser.
  • Represented a private energy fund in the sale of a Florida QF power plant to a publicly traded Florida utility.
  • Represented a U.S. renewable energy developer, owner, and operator in the acquisition of three project sites in Alabama and Tennessee for battery energy storage systems (BESS).
  • Represented a nuclear energy technology and manufacturing company in connection with a $1.5 billion Department of Energy financing supporting the restart of a Michigan nuclear power plant.
  • Represented a wholesale generation company in negotiating and executing multiple power purchase agreements (PPAs).
  • Represented a third-party energy asset and operations manager in negotiating and executing various asset management and operations and maintenance (O&M) agreements for power assets.

General M&A

  • Represented a transportation platform in the strategic acquisition of 12 trucking and logistics providers across the U.S., with transaction values generally ranging from $10 million to $100 million and frequently utilizing representations and warranties insurance.
  • Represented a precast concrete platform in the acquisition of five operating companies and the related acquisition financings.
  • Represented the U.S. subsidiary of a publicly traded Japanese food and beverage flavoring company in its $50 million acquisition of a Chicago-based flavoring manufacturer.
  • Represented a state department of transportation in the acquisition of a toll bridge from an international infrastructure/equity fund.
  • Represented an international technology company in its $140 million acquisition of an enterprise construction management software business, including procurement of representations and warranties insurance.
  • Represented a contract manufacturing and packaging business in the sale of its stock to a Nashville-based private equity firm.

Financings

  • Represented a nuclear energy technology and manufacturing company in connection with a $1.5 billion Department of Energy financing supporting the restart of a Michigan nuclear power plant.
  • Represented a renewable energy developer in negotiating replacement letter of credit arrangements to satisfy PPA-related credit support requirements.
  • Represented affiliated machinery businesses in a $40 million secured revolving credit facility.
  • Represented a private energy fund in a $60 million secured credit facility.

Franchising

  • Represented a fitness franchisee in (i) the buyout of the prior franchisor, (ii) the acquisition of an additional location, and (iii) ongoing franchisor and system development matters.
  • Represented investment groups in negotiating franchise agreements across multiple industries, including fitness, fuel delivery, and mattress distribution.
