  • What types of clients/industries do you often work with?

    I work with all types of financial institutions — from $50 million asset sized community banks, to $500 billion banks — as well as other companies that offer financial services, such as insurance companies and credit unions. I also do real estate and transactional work for all types of corporate entities as well as municipalities.

    I represent indenture trustees, underwriters, and credit enhancers in both taxable and tax-exempt bond transactions and to maximize recoveries in workouts of these type of transactions through my practical knowledge of the bond markets and the structure and documentation of bond transactions.

  • Vendor Management and Compliance: Worked with various community and regional banks in developing their vendor management and compliance programs, including developing vendor risk assessment programs, drafting form Master Services and SOWS and served as counsel to various banks in their regulatory review of vendor management programs.
  • Bond Recovery: Representation of Indenture Trustee in default of over $70 million of municipal revenue bonds secured by more than 1700 multi-family apartments in the panhandle of Florida.
  • Economic Development: Represented an Alabama municipality in the acquisition of real property, financing and construction of a $26 million baseball stadium complex.
  • Real Estate: Represented seller of three high rise office buildings, handled all title, contract drafting and negotiation, as well as assignment of all leases and vendor contracts.
  • Third Party Processing Agreement: Represented a large regional bank in the drafting and negotiation of a large third party processing agreement addressing various regulatory issues.
  • Treasury Management Agreements: Represented a large regional bank in drafting third party processor addendum for use with 180,000 Treasury Management customers.
  • Loan Sales: Represented banks in drafting and negotiation of all transaction, assignment, and closing documents, including provisions addressing regulatory compliance in consumer and residential loans and mortgage servicing issues, in over 500 individual loan sales and multiple portfolio loan sales totaling over $4 billion in outstanding principal balance.
  • BSA/AML Compliance: Represented bank in the drafting and development of Bank Secrecy Act/Anti-Money Laundering (BSA/AML) compliance policies and procedures.
  • Marketing Material Review and UDAAP Compliance: Represents bank in review of various advertising, marketing, and new product materials for regulatory compliance.
  • Mergers and Acquisitions: Represented a bank holding company in acquisitions of various banks.
  • Internal Investigations and Regulatory Communication: Represented bank in internal fraud investigations and filing proof of loss documents.
