  • How are you involved in your community?
    Born and raised on the Mississippi Gulf Coast, I have been a lifetime member of St. James Catholic Church in Gulfport, Mississippi where I have participated in numerous community service projects. 
  • What legal challenges are you looking forward to tackling in the future?

    I look forward to helping clients solve the legal challenges that sit at the intersection of business, tax, and family planning. For many business owners, the most important legal issues arise when they are buying or selling a company, bringing in the next generation, restructuring ownership, planning for taxes, or deciding how wealth should be preserved and transferred. I enjoy helping clients think through those decisions clearly and implement practical structures that serve both their business objectives and their long-term personal goals.

  • Asphalt M&A: Represented a leading asphalt paving and aggregates producer with vertically-integrated operations operating a network of strategically located assets, including one quarry, one sand and gravel operation, 11 aggregate yards, three asphalt plants, and a fleet of 168 owned and leased barges—in its $540 million sale to a diversified construction and construction materials company and a full-suite provider in the transportation, water infrastructure, and mineral exploration markets.
  • Renewable Energy Tax Incentives: Represented numerous national and regional renewable energy developers in obtaining state tax incentives worth millions of dollars.
  • Construction Supply M&A: Represented 50% shareholder of Southeastern-based construction supply companies in $30 million acquisition of all other outstanding voting shares from other shareholders.
  • Private Equity Healthcare M&A: Represented private equity-backed brain injury rehab company in its strategic acquisition of a facility in Louisiana.
  • Natural Gas M&A: Represented a natural gas pipeline drilling company in its sale to a strategic purchaser and its principals’ equity investment in the purchaser.
  • Sales/Use Tax Audit: Represented manufacturer before the Mississippi Department of Revenue in $28 million sales and use tax audit.
  • Precast Concrete M&A & Debt Refinancing: Represented precast concrete products company in its $12 million strategic acquisition in another state and related debt financing.
  • Precast Concrete M&A & Debt Refinancing: Represented precast concrete products company in its $14 million strategic acquisition in another state and related debt financing.
  • Sales/Use Tax Audit: Represented products manufacturer before the Mississippi Department of Revenue in $1 million sales and use tax audit.
  • Sales/Use Tax Audit: Represented custom fabricator before the Mississippi Department of Revenue in $700,000 sales and use tax audit.
  • Public Utility Resiliency Program: Represented public utility in the development of a distributed energy resiliency customer program. 
  • Public Utility M&A: Represented public utility in negotiations to purchase all street lighting assets of a major metropolitan city.
  • Public Utility Hydroelectric Acquisition: Represented client in negotiations for the design, engineering, and acquisition of hydropower turbines for a hydroelectric generating facility.
